1. Introduction
This Anti-Bribery Policy outlines the commitment of Qubit Labs to maintaining the highest standards of integrity and compliance with anti-corruption laws, including the Foreign Corrupt Practices Act (FCPA) and the UK Bribery Act. The policy applies to all employees, officers, directors, agents, consultants, suppliers, contractors, and any third party acting on behalf of Qubit Labs.
2. Scope and Applicability

3. Prohibited Conduct
a. Bribery and Corruption
Employees and third parties acting on behalf of Qubit Labs must not:

Make or receive improper payments, gifts, or hospitality intended to influence a business decision.
Engage in corrupt practices that compromise ethical business conduct.
b. Facilitation Payments
Facilitation payments, small payments made to expedite routine government actions, are strictly prohibited under the UK Bribery Act and discouraged under the FCPA unless explicitly permitted under local law and subject to legal review.
c. Political and Charitable Contributions
Political donations or contributions made to government officials or political parties to gain business advantages are prohibited. Charitable contributions must be legitimate and not serve as a disguise for bribery.
d. Third-Party Risks
Qubit Labs prohibits indirect bribery through third parties such as consultants, agents, or distributors. Adequate due diligence must be conducted before engaging third parties.
4. Compliance with International Anti-Corruption Laws
Foreign Corrupt Practices Act (FCPA) (United States)
The FCPA prohibits:
Bribing foreign officials to obtain or retain business.
Failing to maintain accurate books and records that reflect transactions.
Weak internal accounting controls that allow corrupt practices.
UK Bribery Act (United Kingdom)
The UK Bribery Act prohibits:
Bribery in both public and private sectors.
Failing to prevent bribery by employees or third parties.
Offering or receiving improper advantages in commercial transactions.
Violations under these laws can result in severe penalties, including fines, imprisonment, and reputational damage to Qubit Labs.
5. Reporting and Whistleblower Protection
All employees are required to report suspected bribery or corruption through Qubit Labs’s confidential reporting channels. No employee shall suffer retaliation for reporting in good faith.
6. Training and Awareness
Qubit Labs provides mandatory anti-bribery training to all employees and relevant third parties. Training ensures awareness of bribery risks and compliance obligations under the FCPA, UK Bribery Act, and other applicable laws.

Failure to comply with this policy may result in disciplinary action, including termination of employment, contract termination, and legal action where applicable.
